Affiliate Program Terms

These Affiliate Program Terms (“Terms”) govern participation in the Affiliate Program (the “Program”) operated by REFLEKT LLC, a company established in the Republic of Armenia (“Company”, “we”, “us”).
By applying to or participating in the Program, you (“Affiliate”) agree to these Terms.

1. Eligibility and Participation
1.1 Participation requires prior approval by the Company.
1.2 The Company may approve or reject any application at its discretion.
1.3 Affiliate must provide accurate and up-to-date information.
1.4 The Company may suspend or terminate participation at any time if these Terms are violated.

2. Tracking and Attribution
2.1 Cookie duration is 120 days.
2.2 Attribution is based on last valid referral interaction prior to purchase.
2.3 The Company’s tracking systems are the sole basis for determining commissions.
2.4 Technical Limitations
Tracking depends on cookies, browser settings, and third-party systems. Attribution may be affected by:
- cookie deletion
- browser privacy settings
- cross-device usage
- ad blockers
- technical limitations
The Company is not responsible for tracking failures beyond its control.
2.5 Privacy and Consent
Tracking may be subject to user consent under applicable laws (including GDPR).
If consent is not granted or withdrawn, tracking and attribution may not function fully.

3. Commissions
3.1 Affiliates may earn recurring commissions while referred customers maintain active paid subscriptions.
3.2 Commissions apply only if:
- the customer remains active
- the Affiliate complies with these Terms
- the Program remains active
3.3 Commission Levels
- 30% — base level
- 35% — after $300 monthly referral revenue
- 40% — after $1,000 MRR
- up to 45% — for selected partners
3.4 Tier Evaluation
- evaluated monthly
- requires consistent performance
- determined by the Company
3.5 Changes
The Company may update commission rates or structure at any time. Changes apply prospectively.
4. Validation, Hold and Adjustments
4.1 Commissions are subject to a 30-day validation period.
4.2 Commissions are payable only after:
- validation period
- refund window
- fraud checks
4.3 Refunded or disputed transactions will not generate commissions.
4.4 The Company may adjust or cancel commissions in case of errors, violations, or abuse.
5. Payments
5.1 Payments are made in USD.
5.2 Approved commissions are paid monthly.
5.3 Minimum payout threshold is $50.
5.4 Payments are made via supported payment providers (e.g., PayPal, Wise).
5.5 Affiliates are responsible for taxes and transaction fees.
5.6 Payment Review
The Company may delay or withhold payments if required for compliance, fraud prevention, or review.
6. Program Changes and Termination
The Company may modify or discontinue the Program at any time.
Affiliate participation may be terminated at the Company’s discretion.
Approved commissions earned prior to termination remain payable subject to these Terms.
7. Prohibited Activities
Affiliate must not:

- use misleading or deceptive practices
- generate artificial or incentivized traffic
- send spam
- impersonate the Company

8. Advertising Guidelines
Affiliate must not:
- bid on brand keywords (e.g., “Mirror App”)
- use misleading domains or ads
- run paid ads without approval
9. Fraud Prevention
The Company may investigate suspicious activity and take actions including:
- suspension
- commission cancellation
- account termination
10. Intellectual Property
Affiliate may use approved marketing materials only.
All rights remain with the Company.
11. Independent Contractor
Affiliate acts independently and is not an employee, partner, or agent.
12. Confidentiality
Affiliate must not disclose non-public Program information.
13. Data Protection
Affiliate must comply with applicable data protection laws.
14. Liability
To the maximum extent permitted by law: The Company is not liable for indirect or consequential damages.
Total liability is limited to commissions paid in the previous 6 months.
15. Force Majeure
The Company is not responsible for delays caused by events beyond its control.
16. Governing Law
These Terms are governed by the laws of the Republic of Armenia.
17. Dispute Resolution
Disputes will be resolved through arbitration in Armenia.
18. Survival
Provisions relating to liability, confidentiality, and dispute resolution remain in effect after termination.
